The following terms and conditions detail how the FinanceUK website (the Website) can be used. By using the FinanceUK website you agree to be bound by these terms and conditions. If you do not accept these terms and conditions you must not use the FinanceUK website.
In this agreement .we. and .us. mean FinanceUK which is a trading name of Essential Systems Limited (company number 06253751) whose registered address is 137 Golden Cross Lane, Catshill, Bromsgrove, Worcestershire, B61 0LA.
1. PROVISION OF THE SERVICE
- Use of this service and the FinanceUK website is subject to the terms and conditions set out in this Agreement.
- We reserve the right to amend these terms and conditions at any time, and all such amendments will be posted online. You may terminate the agreement by providing written notice to us if you do not wish to be bound by such new terms and conditions. Your continued use of the Website indicates your acceptance of the updated terms and conditions.
- This service is made available to you solely to communicate information and to enable you to obtain quotations from or purchase products from Third Party Product Providers. We will not be a party to any such transactions, which will be subject to the terms and conditions of the relevant Provider. Under no circumstances shall we have any liability whatsoever in respect of any such transaction including, but not limited to, any loss, cost or damage incurred by you as a result of entering, or attempting to enter, a transaction.
- It is our intention to allow continual and uninterrupted access to the Website. Access to the Website, however, may be terminated or restricted at any time and without notice. We do not guarantee that the service shall be free of faults. In the event of discovering a fault you should report it to us using the contact details available on the Website.
- We reserve the right to change, amend, replace or delete without notice any part of the service at any time.
- FinanceUK assumes no responsibility for the content or services of any other website to or from which the Website has links.
- We will use all reasonable endeavours to ensure that the information relating to Third Party Providers. products and their costs shall be updated regularly. You acknowledge, however, that prices are not updated any more frequently than daily and, as such, it is your responsibility to verify prices with the Provider.
- We may suspend or permanently withdraw your access to the service should you use the service in contravention of this Agreement.
- We reserve the right to block access to and / or edit any material which in our opinion may cause any part of this Agreement to be breached.
2. YOUR OBLIGATIONS
- We will inform you of the applicable terms and conditions imposed by a Provider in relation to the supply of its products, services or goods. You agree to abide by those terms and conditions.
- You warrant that any information you provide to us during the course of this Agreement shall be true, complete and accurate, and you will promptly advise us of any pertinent changes to such information.
- You agree not to use or Service to (or permit anyone else to use our service to):
- cause annoyance, inconvenience or needless anxiety;
- send or receive any material which, in our opinion, is grossly offensive, indecent, obscene or blasphemous, in breach of a third parties rights (including but not limited to copyright, publicity and privacy rights), is calculated to negatively affect an individual, group or entity, or is calculated incite racial hatred against any ethnic, religious or any other minority.
- The following uses of the service are expressly prohibited:
- providing false data including, but not limited to, names, addresses and other contact details and the fraudulent use of bank account and credit / debit card details;
- entering into fraudulent transactions with Providers including, but not limited to, entering into transactions without authority on behalf of a third party, or impersonating a third party;
- attempting to circumvent or intercept the Website.s security, network or controls or attempting to gain unauthorised access to data not intended for you including, but not limited to, FinanceUK servers and data relating to other customers;
3. CHARGES AND PAYMENTS
- There are currently no charges for using the Website. We reserve the right, however, to charge for our certain services or to impose charges for services which were previously free. We will clearly notify you of any applicable charges before access to such services is granted.
- Payment for some third party products may be required at the time of booking or purchase in the secure area of the Website. We will pass your card details and necessary personal details to the Provider who will take payment in accordance with its terms and conditions. We reserve the right to charge you for any handling fees that we or the Provider incur in respect of your booking. You will be informed of such charges before they are incurred.
4. INTELLECTUAL PROPERTY
- The copyright and all other intellectual property rights in the content of the Website including, but not limited to, logos, design, text, graphics, underlying source code and software, belongs to us or to our licensors and all rights are reserved. None of this material may be reproduced or redistributed without our prior written permission.
- All rights in FinanceUK are owned by Essential Systems Limited. Other product and company names displayed or mentioned on this Website are the trademarks or registered trademarks of their respective owners.
- You shall retain ownership of the data you submit to the Website. By submitting your data you grant us a world-wide, royalty free, non-terminable licence to use, keep, share, save, collect, copy, distribute, publish and transmit such data in any manner.
5. DATA PROTECTION
- We will comply with all applicable data protection laws in the UK. We are committed to protecting your privacy and our full privacy policy can be viewed here. We may access your account or disclose your details if we are required to do so by law or by any other applicable regulator or compliance monitor such as, but not limited to, the Financial Services Authority and the Office of Fair Trading.
6. TERMINATION
- We may terminate or suspend your access to the Website and services within it at any time.
- The right to terminate this Agreement shall not prejudice any other right or remedy of FinanceUK in respect of any breach or any rights, obligations or liabilities accrued prior to termination.
7. NO PARTNERSHIP
- Nothing in this agreement shall be construed to create a joint venture, partnership or agency relationship between you, the customer, and FinanceUK. Neither party shall have the right or authority to incur any liability, debt or cost or enter into any contract or other arrangement in the name of or on behalf of the other.
8. LIABILITY
- In performing any obligation under this Agreement, FinanceUK.s only duty is to exercise reasonable care and skill.
- FinanceUK does not warrant and excludes all liability in respect of the accuracy, legality, completeness and fitness for purpose of any information accessed via the Website. Addditionally, FinanceUK excludes all liability of any kind for the transmission and reception of or the failure to transmit or receive any material of whatever nature.
- We do not give any warranty that the Website is free from viruses or anything else which may have a harmful effect on any technology.
- Nothing in these terms and conditions shall affect FinanceUK.s liability in respect of:
- Death or personal injury arising from its own negligence or that of its employees, agents or contractors while acting in the course of their employment by FinanceUK; or
- Any liability of FinanceUK which cannot by Law be excluded or restricted.
- Except as provided in section 8.4 above, FinanceUK shall not be liable in contract, tort (including liability for negligence), or otherwise for any loss or damages suffered as a result of any use of the Services, included but not limited to direct, indirect or consequential loss or damage and loss of business, revenue or profits, anticipated savings or wasted expenditure, corruption or destruction of data.
9. ASSIGNMENT
- You, the customer, shall not assign or delegate or otherwise deal with all or any of your rights or obligations under this Agreement.
- FinanceUK shall have the right to assign or otherwise delegate all or any of its obligations under this Agreement to any person or entity.
10. FORCE MAJURE
- FinanceUK shall not be liable for any breach of its obligations under this Agreement where it is hindered or prevented from carrying out its obligations by any cause outside its reasonable control, including without limitation by lightning, fire, flood, extremely severe weather, strike, lock-out, labour dispute, act of God, war, riot, civil commotion, malicious damage, failure of any telecommunications or computer system, compliance with any law, accident (or any damage caused by any of such events).
11. ENTIRE AGREEMENT
- This Agreement represents the entire understanding between the parties in relation to the subject matter herein and supersedes all other agreements or representations by either party, whether oral or written.
12. NOTICES
- Unless otherwise stated within this Agreement, notices to be given to either party shall be in writing and shall be delivered by hand, electronic mail (other than for the purpose of legal process) sent by fax or pre-paid post to the Customer at the address supplied to FinanceUK or to FinanceUK at the address as specified on the FinanceUK website.
13. GOVERNING LAW
- This Agreement shall be governed by and construed in accordance with the laws of England and Wales and both parties hereby submit to the non-exclusive jurisdiction of the courts of England and Wales.
